1. Acceptance of Terms

By accessing or using Goodleap Roofing ("the Platform"), available at roofing.goodleap.com, you agree to be bound by these Terms of Service. If you do not agree to these terms, do not use the Platform. If you are using the Platform on behalf of a company or organization, you represent that you have the authority to bind that entity to these terms.

2. Description of Service

Goodleap Roofing is an AI-powered roofing platform that enables roofing professionals to:

• Generate 3D roof models and measurements from property addresses.
• Design and configure roofing materials visually using the 3D designer.
• Create bills of materials and procurement orders.
• Collaborate with team members on roofing projects.
• Interact with an AI assistant for project guidance and material selection.
• Place orders with roofing material distributors.

3. Account Registration

To use the Platform, you must create an account by providing accurate and complete information. You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You must notify us immediately of any unauthorized use of your account.

4. Subscriptions and Billing

4.1 Plans

The Platform offers subscription plans with different feature sets and usage limits. A free trial may be available for new users. Details of current plans and pricing are displayed on the Platform.

4.2 Payment

Paid subscriptions are billed in advance on a monthly or annual basis. Payment is processed through Stripe. By subscribing, you authorize us to charge the payment method on file for recurring fees until you cancel.

4.3 Cancellation

You may cancel your subscription at any time through your account settings. Cancellation takes effect at the end of the current billing period. No refunds are provided for partial billing periods.

5. Acceptable Use

You agree not to:

• Use the Platform for any unlawful purpose or in violation of any applicable laws.
• Attempt to gain unauthorized access to the Platform, other accounts, or related systems.
• Reverse engineer, decompile, or disassemble any part of the Platform's software.
• Use automated tools (bots, scrapers) to access the Platform without our written consent.
• Upload or transmit malicious code, viruses, or any content that could harm the Platform or its users.
• Resell, sublicense, or redistribute the Platform or its outputs without authorization.

6. Project Data and Content

6.1 Your Content

You retain ownership of the project data you create on the Platform, including addresses, configurations, and design selections. By using the Platform, you grant us a limited license to process and store this data as necessary to provide and improve our services.

6.2 AI-Generated Outputs

3D roof models, measurements, material recommendations, and other AI-generated outputs are provided as estimates and professional aids. They are not a substitute for on-site inspections, professional engineering assessments, or building code compliance reviews. You are responsible for verifying all outputs before relying on them for procurement or construction decisions.

7. Procurement and Orders

The Platform facilitates material procurement by connecting you with roofing distributors. When you place an order through the Platform:

• The purchase contract is between you and the distributor. Goodleap Roofing acts as an intermediary and is not a party to the sale.
• Product availability, pricing, and delivery timelines are determined by the distributor and may change without notice.
• Returns, refunds, and warranty claims for materials are subject to the distributor's policies.

8. Team and Workspace

If you create a workspace and invite team members, you are responsible for managing access permissions and the actions of users within your workspace. Workspace administrators can control member roles, project visibility, and data sharing settings.

9. Intellectual Property

The Platform, including its design, code, AI models, branding, and documentation, is owned by Goodleap Roofing and protected by intellectual property laws. Your subscription grants you a limited, non-exclusive, non-transferable license to use the Platform for its intended purpose during your subscription period.

10. Limitation of Liability

To the maximum extent permitted by law, Goodleap Roofing shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of the Platform, including but not limited to:

• Inaccuracies in AI-generated roof measurements or models.
• Errors in material quantities or bill of materials calculations.
• Issues with orders placed through distributor partners.
• Loss of project data due to service interruptions.

Our total liability for any claim shall not exceed the amount you paid for the Platform in the twelve (12) months preceding the claim.

11. Disclaimer of Warranties

The Platform is provided "as is" and "as available" without warranties of any kind, whether express or implied, including warranties of merchantability, fitness for a particular purpose, or non-infringement. We do not warrant that the Platform will be uninterrupted, error-free, or that AI-generated outputs will be accurate or complete.

12. Termination

We may suspend or terminate your access to the Platform at any time if you violate these Terms or engage in conduct that we determine is harmful to the Platform or its users. Upon termination, your right to use the Platform ceases immediately. You may export your project data prior to account closure.

13. Changes to Terms

We may update these Terms from time to time. Material changes will be communicated through the Platform or via email. Continued use of the Platform after changes take effect constitutes acceptance of the revised Terms.

14. Governing Law

These Terms are governed by and construed in accordance with the laws of the State of California, without regard to its conflict of law principles. Any disputes arising from these Terms shall be resolved in the courts located in San Francisco County, California.
